(the “Registrant”), relating to (i) 3,730,775 additional shares of its common stock, par value $0.001 per share (the “Common Stock”), available for issuance pursuant to the Amended and Restated 89bio, Inc. 2019 Equity Incentive Plan and (ii) 932,693 additional shares of Common Stock available for issuance pursuant to the 89bio, Inc. 2019 Employee Stock Purchase Plan.
